Preliminary Prospectus for Transelectrica Secondary Public Offering

Intercapital Invest, as a member of the Consortium selected to manage the Transelectrica Secondary Public Offering, is pleased to announce the publication of the Offering's Preliminary Prospectus.

The number of shares to be sold in the offering, estimated to close in Q1 2012, is 10,995,472, or 15% of shares outstanding. The Preliminary Prospectus includes important information on the Issuer, it's activity, structure and financial results.

The publication of the Preliminary Prospectus represents the start of the offering's marketing activities. Subsequently, the Final Offering Prospectus will be drafted, approved and published; the Final Prospectus will also include full information on the offering's terms and conditions, including price formation.

Intercapital - Subcontractor of Winning Consortium for the Romgaz IPO

The consortium of Goldman Sachs, Erste Bank, Banca Comerciala Romana and Raiffeisen Capital & Investment has obtained the highest score in the selection of the underwriter for the Initial Public Offering of Romanian natural gas producer Romgaz Medias.

Intercapital Invest is a subcontractor of the winning consortium. The Romgaz IPO will be the most important initial public offering in the history of the Romanian Capital Market.

Intercapital Invest is also a member of the management consortium of the Transelectrica SPO, scheduled to take place in Q1 2012.

Intercapital Invest, one of Romania's leading independent brokers/dealers, executed equity and fund-unit trades on the Bucharest Stock Exchange (BSE) of 465.8 Million RON in the first nine months of 2011, compared to 461.7 Million RON in the first nine months of 2010 and 305.1 Million RON in the first nine months of 2009. Intercapital Invest executed equity and fund-unit trades on the Bucharest Stock Exchange (BSE) of 56.8 Million EUR in the first three months of 2011, compared to 35.3 Million EUR in Q1 2010 and 8.7 Million in Q1 2009. The company was the largest Romanian independent broker in Q1 2011 based on equity trading on the BSE, ranking 5th compared to 9th in Q1 2010 and 11th in Q1 2009 (value of the company's trading activity in bonds, derivatives and structured products traded on thee BSE was negligible in the first three months of the current year).

Intercapital Invest ranked 3rd in equity trading on the Bucharest Stock Exchange in January, the month of one of Romania's most important listings - that of 3.5 Billion euro fund Fondul Proprietatea. The value of the company's equity trades on the BSE was 108 Million RON in January.

The company also performed well on the equity market of Sibex, Romania's other market operator, where it ranked second in January 2011.

The closed-ended investment fund iFond Gold was admitted to trading on the regulated market of the Bucharest Stock Exchange starting with December 30, 2010 (ticker IFG).

iFond Gold is a closed-ended fund listed on the Bucharest Stock Exchange with investments in gold mining companies with projects in Romania and other countries of North and South America, Australia and Europe. The fund closed a successful public offering on 29 November, which recorded a subscription rate of 200.6% compared to the offering's initial value.

Closed-end fund iFond Gold announces it has invested its assets according to the strategy presented in the fund's prospectus.

The fund has acquired shares of companies Gabriel Resources Ltd, European Goldfields Ltd, New Gold Inc, Novagold Resources Inc, Alamos Gold Inc, Allied Nevada Gold Corp and Yamana Gold Inc listed on the Toronto Stock Exchange. The starting date of iFond Gold was 9 December.

Intercapital Invest has submitted to the National Securities Commission and the Bucharest Stock Exchange the documents required for listing the fund. Trading is estimated to start in late January.

The Initial Public Offering of fund iFond Gold was closed successfully, total subscriptions representing 200.6% of the initial value of the offering. Thus, the Intercapital Group repeats the success of the IPO of iFond Financial Romania, closed in August this year.

iFond Gold is a closed-end fund managed by Intercapital Investment Management, the asset management division of Intercapital Invest. The total number of fund units subscribed in the offering was 20,056, compared to an initial number of 10,000 units. The number of subscription orders was 215, with a total value of 4,05 Million RON.

Intercapital Invest announces the launch of the Initial Public Offering of iFond Gold, an exchange-listed fund investing in companies that specialize in exploration and development of gold projects.

iFond Gold offers investors access to shares of Canadian company Gabriel Resources Ltd., which focuses on the development of the Romanian gold project at Rosia Montana, one of the largest in Europe, in which it holds an 80% stake (the project has estimated reserves of 314t of Gold and 1,480t of Silver). iFond Gold's initial investment in shares of Gabriel Resources will be approximately 40% of total assets.

iFond Gold will be admitted to trading on the Bucharest Stock Exchange following the closing of its IPO, which takes place between November 9^th - November 29^th 2010. The fund's IPO is underwritten by Intercapital Invest so that investors do not bear the risk of an unsuccessful closing.
